1. Acceptance of Terms

storq.io ("the Service") is operated by Limitlesswealth Limited, a company registered in England and Wales (Company No. 11015312).

By accessing or using the Service, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service.

These terms apply to all users of the Service, including account owners, administrators, and team members invited to an account.

2. Account Responsibilities

When you create an account with storq.io, you are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the security of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized access

You must be at least 18 years old to create an account. Each account is intended for use by a single organization. You may not share your account credentials with anyone outside your organization.

3. Permitted Use

storq.io is a B2B inventory and ordering platform. You may use the Service for lawful inventory management, order fulfillment, invoicing, and related business activities.

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to store or transmit malicious code
  • Resell or redistribute the Service without written permission

4. Data Ownership

You retain full ownership of all data you submit to the Service, including product information, stock levels, order data, and any other content you create or upload ("Your Data").

We do not claim ownership of Your Data. We access Your Data only to provide and improve the Service, and as described in our Privacy Policy.

You may export Your Data at any time through the account settings. Upon account termination, we will retain Your Data for 30 days to allow for recovery, after which it will be permanently deleted.

5. Service Availability

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Emergency maintenance or security updates
  • Factors beyond our reasonable control

We do not provide a formal Service Level Agreement (SLA) unless separately agreed upon in writing. The Service is provided on an "as is" and "as available" basis.

6. Payment and Billing

Certain features of the Service require a paid subscription. By selecting a paid plan, you agree to pay the applicable fees as described on our pricing page.

  • Subscriptions are billed monthly or annually, depending on your chosen plan
  • Payment is processed securely through Stripe
  • You may upgrade, downgrade, or cancel your subscription at any time
  • Refunds are handled on a case-by-case basis

Transaction Fees

A 3% transaction fee is applied to all payments processed through the storq.io platform, including orders and invoices paid via the B2B customer portal. This fee is deducted automatically from each payment before it reaches your connected Stripe account. Standard Stripe processing fees also apply and are separate from the storq.io transaction fee.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from the Service will be accurate, reliable, or complete
  • Stock levels, inventory counts, invoices, reports, or any other data generated by the Service will be free from errors or omissions
  • Any defects in the Service will be corrected within any particular timeframe

The accuracy of inventory data, invoices, tax calculations, stock levels, and reports depends on the data you and your team enter into the Service. You are solely responsible for verifying the accuracy of all outputs, including invoices sent to your customers and stock levels displayed through the B2B portal.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STORQ.IO, ITS DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or anticipated savings
  • Loss of business, contracts, or goodwill
  • Business interruption or loss of business opportunity
  • Loss of or damage to data
  • Cost of procurement of substitute goods or services
  • Any losses arising from inaccurate stock levels, incorrect invoices, miscalculated tax amounts, or erroneous reports generated by the Service
  • Any losses arising from reliance on information provided by the Service

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE LESSER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (£100).

THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless storq.io, Limitlesswealth Limited, and its directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Service or any activity under your account
  • Your breach of these Terms of Service
  • Any dispute between you and your customers, including disputes related to orders, invoices, stock availability, pricing, or payments processed through the Service
  • Any claim by a third party that data you entered into the Service or actions you took using the Service caused them harm
  • Your violation of any applicable law or regulation, including tax and VAT obligations

10. Third-Party Services

The Service integrates with third-party services including, but not limited to, Stripe for payment processing. These services are governed by their own terms and conditions.

We are not responsible or liable for:

  • The availability, accuracy, or performance of any third-party service
  • Any loss or damage resulting from outages, errors, or failures of third-party services
  • Payment processing errors, delays, or failures by Stripe or any other payment provider
  • Changes to third-party services that affect the functionality of the Service

Your use of third-party services is at your own risk and subject to the terms and conditions of those services.

11. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of war or terrorism, epidemics or pandemics, power failures, internet or telecommunications failures, hosting provider outages, third-party service failures, government actions, or labour disputes.

12. Termination

You may terminate your account at any time through the account settings page. Upon termination:

  • Your access to the Service will cease immediately
  • Your Data will be retained for 30 days, then permanently deleted
  • Any outstanding fees remain due and payable

We may suspend or terminate your account if you violate these terms, fail to pay applicable fees, or if we reasonably believe your use poses a risk to the Service or other users.

13. Changes to Terms

We may update these Terms of Service from time to time. When we make material changes, we will notify you by email or through a notice on the Service.

Your continued use of the Service after changes take effect constitutes acceptance of the updated terms. If you do not agree to the changes, you should discontinue use of the Service.

14. Governing Law

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or your use of the Service will be resolved through good-faith negotiation before pursuing formal legal action.
